TravelerSide Terms of Use (Effective October 1, 2026) Article 1. Application and Definitions 1. These Terms of Use (the “Terms”) set forth the conditions for use of on-site accompaniment, communication support, and other support services (the “Services”) provided by TravelerSide, a service operated by a sole proprietor (“TravelerSide”). 2. “Applicant” means a person aged 18 or older who completes the contracting procedures with TravelerSide for the Services and is responsible for payment of the applicable fees. 3. “User” means a person who actually receives the Services and may be different from the Applicant. 4. If the Applicant provides TravelerSide with information concerning another User, the Applicant shall have the consent or other authority necessary to provide such information. 5. The Applicant shall inform accompanying Users of those provisions of these Terms that are relevant to them. 6. If any expressly agreed terms between TravelerSide and the Applicant, including an individual booking confirmation or invoice, conflict with these Terms, the expressly agreed individual terms shall prevail to the extent permitted by law. Article 2. Scope of Services 1. TravelerSide provides on-site accompaniment, communication support, and other support agreed upon at the time of booking to inbound travelers and others, within areas of Japan that TravelerSide has confirmed it can serve for the relevant booking. 2. As a general rule, Users themselves select, book, purchase, contract for, and pay for travel plans, destinations, transportation, accommodation, tickets, goods, and other services. 3. TravelerSide does not undertake travel services or other activities requiring registration or other qualifications under the Travel Agency Act or other applicable laws. As a general rule, TravelerSide does not provide the following: • Preparation of travel itineraries or estimates of travel costs as travel agency services • Booking or arranging transportation, accommodation, tickets, or similar services on behalf of Users • Changing, canceling, or rebooking transportation or accommodation on behalf of Users • Holding User funds • Selling travel products that combine transportation and accommodation or similar components 4. Flexible changes under Flexible Day or other Services mean adjusting TravelerSide’s on-site accompaniment, communication support, assistance with getting around, or other support in accordance with choices made by the User. Such changes do not mean that TravelerSide undertakes the travel agency services described in the preceding paragraph. 5. TravelerSide does not provide medical services, diagnoses, treatment decisions, decisions or instructions regarding medication, nursing care, childcare custody, or continuous supervision. 6. In the event of sudden illness, injury, or another emergency, TravelerSide may, as necessary, call 119 (emergency services), accompany the User to a medical facility, provide reception or communication support, or provide other emergency assistance described in these Terms. 7. If laws, facility rules, transportation rules, or other third-party rules prevent TravelerSide from providing all or part of the Services at a particular place or in a particular situation, TravelerSide will comply with those rules. 8. TravelerSide provides support activities themselves and does not guarantee any specific outcome that depends on external circumstances, including admission to a facility, operation of transportation, decisions or actions of third parties, completion of bookings or purchases, or resolution of a problem. This paragraph does not limit any liability TravelerSide bears under applicable law. Article 3. Booking Application and Formation 1. A formal booking is not formed merely by making an inquiry, submitting a request to use the Services, or discussing possible dates. 2. TravelerSide will review the application details, staff availability, safety conditions, and other necessary matters and, if the request can be accepted, will provide instructions for completing the contracting process. 3. A formal booking is formed only when both of the following have been completed: (1) Electronic signature of these Terms (2) Full payment of the Service Fee 4. A booking is not formally formed if only the electronic signature or only the payment has been completed. 5. As a general rule, payment is due within 24 hours after the invoice is sent. 6. If the Service start time is less than 24 hours away, the deadline stated on the invoice will apply. 7. If payment has been completed by the deadline but the electronic signature has not, no formal booking is formed, and TravelerSide will, as a general rule, begin the process of refunding the full amount of the Service Fee received within three business days. 8. If the required electronic signature and payment are not completed by the specified deadline, TravelerSide may treat the application as expired. 9. After a booking is formed, TravelerSide will send the Applicant a booking confirmation showing the plan, price, date of use, start time, and other booking details. Where required by law, the confirmation will also include the business operator information, amount received, date received, type of service, time of service provision, and other required information. 10. All prices and payments are denominated in Japanese yen (JPY). Article 4. Service Fees and Group Size 1. In these Terms, “Service Fee” means the amount agreed upon at the time of booking or modification as consideration for the Services themselves, including the base fee, additional-person charges, extension fees, and plan-change differences. It does not include actual expenses such as transportation, admission, meals, or accommodation. 2. The base fees are as follows: 2-hour Local Support JPY 20,000 4-hour Local Support JPY 30,000 Flexible Day JPY 50,000 3. Displayed prices are the total amount payable by the Applicant. No additional consumption tax will be added. 4. The same base fee applies to groups of one to five people. 5. For the sixth person and each additional person, an additional JPY 5,000 per person applies. 6. Preschool-age children (children who have not yet entered elementary school) are not counted when calculating the additional-person charge in the preceding paragraph. 7. However, preschool-age children are included in the actual headcount for safety and acceptance decisions. 8. Payment of an additional-person charge does not guarantee that a booking can be accepted regardless of the group size or other circumstances. 9. If members of the same booking separate and travel in different places, one staff member cannot support multiple groups at the same time. Support will be provided to one group or User at a time, as agreed in the circumstances. Article 5. Flexible Day 1. Flexible Day is, as a general rule, limited to one group per day. 2. The maximum service duration is 15 hours. 3. The standard service window is from 7:00 to 22:00. 4. Users are not required to finalize every detail of the day’s itinerary at the time of booking. 5. Within the agreed scope of Services and booked service time, TravelerSide may flexibly adjust the support provided according to the User’s preferences, physical condition, weather, crowding, and other circumstances on the day. 6. No separate consultation fee is charged for Flexible Day. Article 6. Service Time, Extensions, and Plan Changes 1. After the Services begin, time normally spent on transportation, transfers, waiting at facilities, communication support, and other activities arising in the course of providing the Services is generally included in the booked service time. 2. Delays attributable to TravelerSide or other time that it would be unreasonable to charge to the User will not be counted as booked service time. 3. The extension fee for 2-hour Local Support and 4-hour Local Support is JPY 5,000 per 30 minutes. 4. Extensions are not automatic. 5. An extension is available only if the staff member is able to continue and the User wishes to extend the Services. 6. Before the original two-hour period ends, 2-hour Local Support may be changed to 4-hour Local Support for an additional JPY 10,000 if the staff member can continue and the User wishes to make the change. 7. If a change under the preceding paragraph increases the fee, the change takes effect after the additional payment has been completed. 8. Once the original two-hour period has ended, a continuation will not be treated as a change to 4-hour Local Support and the normal extension fee will apply. Article 7. Changes to Booking Details 1. Within the booked service time and the agreed scope of the Services, destinations and activities may be changed flexibly where reasonably possible. 2. Changes to the date, start time, plan, or number of people require mutual agreement between TravelerSide and the Applicant. 3. If a change increases the fee, the change takes effect after the additional payment has been completed. 4. If a change decreases the fee, the cancellation rules in Article 8 apply to the reduced portion. 5. If the parties cannot agree on a change, the original booking will, as a general rule, remain in effect. Article 8. Cancellations 1. Cancellation charges for cancellations due to the User’s circumstances are based on the scheduled Service start time as follows: 48 hours or more before the Service start time: 0% 24 hours or more but less than 48 hours before the Service start time: 50% of the Service Fee Less than 24 hours before the Service start time: 100% of the Service Fee No-show: 100% of the Service Fee 2. Cancellations must be sent to the TravelerSide contact method stated in the booking confirmation. The cancellation time is the time the notice reaches TravelerSide, based on Japan Standard Time (JST). 3. If the Services end early after they have begun due to the User’s circumstances, no refund will be made for unused time. 4. Notwithstanding the preceding paragraphs, if the maximum amount legally chargeable under the Consumer Contract Act or any other applicable law is lower than the amount stated in this Article, the legally permitted amount will apply as the maximum. 5. Where required by law, if the User requests an explanation of the basis for calculating the cancellation charge, TravelerSide will provide an outline to the extent necessary. Article 9. Late Arrival and No-Show 1. Except for airport meetups, the booked service time begins at the scheduled start time. 2. If the User arrives late, the scheduled end time will generally remain unchanged. 3. If the User gives advance notice that they will be late, TravelerSide will accommodate the delay where reasonably possible, but the booked service time will continue to run from the scheduled start time. 4. If, due to circumstances on the User’s side, TravelerSide receives no contact and the User cannot be met within 30 minutes after the scheduled start time, TravelerSide may treat the booking as a no-show and end the waiting period. 5. If the staff member can continue and the User wishes to do so, an extension may be provided subject to the normal extension fee under Article 6. 6. If a disaster or other circumstance makes the meetup or continued service objectively impossible or unsafe, Article 12 will apply. 7. Airport bookings are governed by Article 13 instead of this Article. Article 10. When TravelerSide Cannot Provide the Services; Refunds 1. If, due to circumstances on TravelerSide’s side, the Services cannot be provided at all, 100% of the Service Fee will be refunded. 2. If part of the Services cannot be provided, the refund amount will be calculated as follows: Service Fee × Unprovided Time ÷ Booked Service Time 3. If the calculation in the preceding paragraph results in a fraction of less than JPY 1,000, the amount will be rounded up to the next JPY 1,000 in favor of the User. 4. For Flexible Day, “Booked Service Time” in the preceding paragraph means the time between the agreed start and end times for that booking and is not fixed at 15 hours. 5. Once a refund has been confirmed, TravelerSide will, as a general rule, begin processing the refund within three business days. 6. Refunds are calculated in Japanese yen (JPY) and, where technically possible, will be returned to the original payment method. 7. The time required for the refund to appear on the User’s card or other account may vary depending on the payment processor, card issuer, or other financial institution. 8. Exchange-rate conversion, foreign transaction fees, and other amounts not received by TravelerSide are subject to the terms of the relevant financial institution, except where TravelerSide is legally responsible. Article 11. When an Emergency or Other Event on the Previous Day Affects the Next Day’s Booking If, due to an emergency response during the previous day’s service, a disaster, a major transportation disruption, or another unavoidable circumstance, it becomes difficult for the staff member to provide the Services from the scheduled start time of the following day’s booking, TravelerSide will contact the customer as soon as this becomes known. This will not be treated as a cancellation due to the customer’s circumstances. Depending on the circumstances and after confirming with the customer, TravelerSide will take one of the following measures: • Change the start time and secure the booked service time to the extent possible • Shorten the service time and refund the unprovided time in accordance with the refund provisions referred to in this Article • If the Services cannot be provided, refund 100% of the Service Fee For purposes of this Article, the refund provisions referred to above mean the refund method set forth in Article 10. Article 12. Disasters and Other Circumstances Not Attributable to Either Party 1. If all or part of the Services cannot be provided because of an earthquake, typhoon, other natural disaster, major transportation disruption, evacuation order, government restriction, facility closure, or another circumstance not attributable to either the User or TravelerSide, the situation will not be treated as a cancellation due to the User’s circumstances. 2. Where possible, TravelerSide will confirm the situation with the User and adjust the start time, place, or content of the Services so that the booked Services can be provided to the extent reasonably possible. 3. If the Services cannot be provided at all, 100% of the Service Fee will be refunded. 4. If only part of the Services can be provided, the amount corresponding to the unprovided time will be refunded in accordance with Article 10. 5. Refunds under this Article are limited to the Service Fee. Unless TravelerSide is legally responsible, TravelerSide will not compensate the User for transportation costs, accommodation costs, ticket costs, or other expenses paid to third parties. 6. Nothing in this Article releases TravelerSide from any liability it bears under applicable law. Article 13. Airport Support 1. For airport bookings, TravelerSide will, as a general rule, confirm in advance or at the time of booking the flight number, scheduled arrival time, airport, accommodation or destination, and other necessary information. 2. Users are not required to contact TravelerSide while on the aircraft, undergoing immigration procedures, passing through customs, or collecting baggage. 3. TravelerSide may check available flight information where necessary. 4. For airport bookings, the booked service time begins when the User and the staff member actually meet at the airport. 5. The final time by which the meetup must occur will be set in advance for each booking. 6. Normal service provision will not continue beyond 22:00. This does not apply to the minimum time required for an emergency handoff under Article 15. 7. If a major flight delay or cancellation, immigration procedures, customs, baggage handling, or another circumstance outside the User’s ordinary control prevents the parties from meeting by the final meetup time agreed at booking and no Services are provided at all, the situation will not be treated as a cancellation due to the User’s circumstances and 100% of the Service Fee will be refunded. 8. If the User is delayed for a reason described in the preceding paragraph but the parties are able to meet by the final meetup time, and the full booked service time cannot be provided by 22:00, TravelerSide will confirm the situation with the User, provide as much of the booked time as reasonably possible, and refund the amount corresponding to any service time that cannot be provided in accordance with Article 10. 9. No non-refundable airport-specific deposit will be charged. Article 14. Transportation, Admission, Meals, and Other Expenses 1. Within Tokyo’s 23 wards, the staff member’s ordinary train, subway, and route-bus fares are generally included in the Service Fee. 2. If additional staff transportation expenses are required outside Tokyo’s 23 wards or in another situation outside the ordinary scope, TravelerSide will explain the details and amount before the booking is formed and will charge only the amount agreed to by the User. 3. The User is responsible for the User’s own transportation, admission, ticket, meal, merchandise, experience, and other personal expenses. 4. If, after the booking is formed, a change requested by the User to the destination or content creates an additional staff expense not included in the original Service Fee, TravelerSide will, before incurring the expense, state the nature of the expense and either the specific amount or a reasonable maximum amount and obtain the User’s explicit consent. 5. If a paid facility requires the staff member to pay admission, TravelerSide will explain the amount in advance where the expense is anticipated before the booking is formed. If the need arises after booking, the preceding paragraph will apply. The User will pay only the necessary actual expense that the User has agreed to, with no markup. 6. If an additional staff expense is required for a taxi, chauffeured car, train or seat requiring a special surcharge, ferry, or other transportation other than ordinary trains, subways, or route buses, TravelerSide will, except in an emergency, obtain the User’s consent before incurring the expense and will keep the amount within the agreed amount or maximum amount. 7. If the User wishes to dine together with the staff member, the User will choose the restaurant and set a budget for the staff member. The staff member will order within that budget, and the User will pay the staff member’s portion. 8. If the User and the staff member do not dine together, TravelerSide will not charge the User for the staff member’s ordinary meal expenses. 9. If staff transportation or accommodation expenses arise in an emergency, Article 15 will apply. Article 15. Emergency Response 1. If a User or accompanying person experiences sudden illness, injury, an accident, an incident, becomes lost, or faces another emergency, TravelerSide will, depending on the circumstances, provide assistance necessary to hand the matter over to emergency services, a medical institution, the police, family members, an accommodation facility, or another appropriate party. 2. No extension fee will be charged for additional time reasonably required to complete such an emergency handoff. 3. The maximum service duration under Article 5 and the normal end time under Article 13, Paragraph 6 apply to ordinary Services and do not apply to the minimum time necessary for an emergency handoff under this Article. Such time will not be treated as a normal paid extension. 4. If continuing an emergency response specific to the User reasonably requires the staff member to incur transportation or accommodation expenses that would not otherwise have arisen, TravelerSide will, where prior confirmation is possible, explain the need, nature, estimated amount or maximum amount before incurring the expense and obtain the User’s explicit consent. 5. If the User gives consent under the preceding paragraph, TravelerSide will charge only the minimum necessary actual expense within the agreed scope and will add no markup or profit. 6. If the emergency makes it impossible to obtain the User’s consent in advance, TravelerSide will prioritize safety and handoff to the appropriate party. TravelerSide will later provide the reason the expense was necessary, the amount, and receipts or other supporting documentation. 7. In the situation described in the preceding paragraph, TravelerSide will not treat the User as automatically liable for an expense solely on the basis of these Terms if the User did not explicitly consent in advance. TravelerSide will charge only an amount subsequently agreed with the User. 8. Where consistent with safety, TravelerSide will prioritize a more reasonable and lower-cost option, such as overnight accommodation followed by public transportation the next day. Article 16. Language and Communication 1. The TravelerSide staff member primarily communicates in Japanese and may use limited conversational English and Chinese. 2. For communication in languages other than Japanese, TravelerSide may use translation applications or other support tools as necessary. 3. For important matters such as prices, times, locations, and booking conditions, TravelerSide will use written text, screen displays, confirmation, back-translation, or other methods as necessary to reduce the risk of misunderstanding. Article 17. User Cooperation and Suspension or Termination of Services 1. Users shall provide accurate booking details, contact information, and other information reasonably necessary for provision of the Services. 2. Users shall comply with Japanese law, the rules of facilities and transportation providers, and safety-related instructions reasonably necessary in the circumstances. 3. TravelerSide may refuse requests for unlawful conduct, dangerous conduct, medical judgment, or other activities outside the scope of the Services. 4. In the event of violence, threats, seriously disruptive conduct, severe intoxication, or another serious circumstance in which the safety of the staff member or a third party cannot be secured, TravelerSide may suspend or terminate the Services. Where reasonably possible, TravelerSide will first ask the User to stop the conduct. 5. If the Services are suspended or terminated because of serious conduct for which the User is responsible, the treatment of fees for the unprovided portion will be determined, to the extent permitted by law, in light of the circumstances, the amount of service already provided, and the loss incurred by TravelerSide. 6. Sudden illness, accidents, disasters, and other emergencies for which the User is not responsible are governed by Article 12, Article 15, or the other applicable provisions of these Terms rather than the preceding paragraph. Article 18. Minors and Services Involving Children 1. The Applicant must be at least 18 years old. 2. When children are included in a group, a parent, guardian, or other appropriate supervising adult shall, as a general rule, remain with the children. 3. TravelerSide does not provide childcare custody or continuous supervision services. 4. If a child becomes lost or another emergency occurs, TravelerSide may, in accordance with Article 15, provide assistance reasonably necessary to hand the matter over to the police, facility staff, a parent or guardian, or another appropriate party. Article 19. Food Allergies, Dietary Practices, and Religious Dietary Restrictions 1. When TravelerSide assists with food allergies, dietary practices, religious dietary restrictions, or similar matters, TravelerSide may support communication between the User and the restaurant or other establishment, assist with checking displayed information, and provide similar assistance. 2. TravelerSide does not guarantee that an allergen is absent, that cross-contact has not occurred, that food is religiously compliant, or that food or beverages provided by an establishment are otherwise safe or suitable. 3. The preceding paragraph does not exempt TravelerSide from any liability arising from TravelerSide’s own intent or negligence under applicable law. Article 20. Baggage and Valuables 1. TravelerSide does not accept cash, passports, credit cards, jewelry, medicines, or other valuables for safekeeping. 2. Even when TravelerSide temporarily assists with carrying ordinary baggage, Users are responsible for managing their own valuables. 3. If a User leaves valuables inside baggage and temporarily hands the baggage to TravelerSide without disclosing the valuables, TravelerSide will not be considered to have separately accepted responsibility for safeguarding those valuables. 4. Nothing in this Article exempts TravelerSide from liability under applicable law for loss or damage caused by TravelerSide’s intent or negligence. Article 21. Liability 1. If a User suffers loss or damage due to TravelerSide’s intent, negligence, or another circumstance for which TravelerSide is legally responsible, TravelerSide will bear responsibility in accordance with applicable law. 2. If loss or damage is caused solely by a User, a third party, a facility, a transportation provider, or another party other than TravelerSide, and TravelerSide bears no legal responsibility, TravelerSide will not compensate for such loss or damage. 3. TravelerSide does not exclude liability that it is legally required to bear merely because a third party, transportation provider, weather condition, disaster, or other external circumstance is involved. 4. The coverage amount or policy limit of insurance maintained by TravelerSide does not constitute a limit on TravelerSide’s legal liability. 5. Nothing in these Terms limits or excludes any liability of TravelerSide that may not legally be limited or excluded under the Consumer Contract Act or any other applicable law. Article 22. Personal Information 1. TravelerSide handles personal information obtained in connection with the Services in accordance with its separately published Privacy Policy. 2. In an emergency, TravelerSide may, in accordance with applicable law and the Privacy Policy, provide necessary information to relevant authorities or other appropriate parties to the extent required to protect the life, physical safety, or security of a User and to complete an appropriate handoff. Article 23. Changes to These Terms 1. If TravelerSide changes these Terms, TravelerSide will clearly state the changes and the effective date. 2. As a general rule, revised Terms apply to bookings formed after the revision takes effect. 3. For bookings already formed, the conditions in effect when the booking was formed will continue to apply unless the User and TravelerSide separately agree otherwise or a change is required by law. Article 24. Relationship with Applicable Law If any provision of these Terms is invalid or unenforceable under applicable law, the remaining provisions will continue to apply to the extent permitted by law. Article 25. Governing Law and Disputes 1. These Terms and contracts relating to the Services are governed by the laws of Japan. 2. The preceding paragraph does not prevent the application of mandatory consumer protections or other mandatory provisions applicable under Japan’s Act on General Rules for Application of Laws or any other applicable law. 3. If a problem or dispute arises in connection with the Services, the User and TravelerSide will first confirm the relevant facts and seek to resolve the matter in good faith. 4. If litigation or other legal proceedings are necessary, the matter will be handled in accordance with applicable law. Article 26. Language Versions 1. The Japanese version of these Terms is the original version. 2. If TravelerSide conducts the contracting process in a foreign language, TravelerSide will, before the Applicant electronically signs the Terms, provide a corresponding translation or another appropriate means by which the Applicant can review the Terms in that language. 3. If there is any difference in interpretation between the Japanese version and a translation provided by TravelerSide, the Japanese version will serve as the basis for interpretation. However, if a material translation error by TravelerSide reasonably caused the Applicant to understand the Terms differently, or if applicable mandatory law requires a different treatment, the applicable law and the specific circumstances will govern. Supplementary Provision These Terms are effective as of October 1, 2026.
